1. Scope

These terms of sale (“Terms”) apply to any exhibition-stand order placed with PIXLEVENT SARL with a share capital of XOF 2,000,000 — RCCM CI-ABJ-03-2021-B12-01853 — NCC 2132709F — Villa 59, Angré 8e Tranche, Cocody, Abidjan, Côte d'Ivoire — BP 385 CIDEX 3 Abidjan — trading as monstand.africa (the “Seller”), by a professional customer (the “Customer”). They prevail over any document of the Customer. The indicative quote produced by the online configurator is only an indication; only the firm quote issued by one of the Seller's advisors, dated and signed by the Customer, forms the order.

2. Turnkey service

Unless otherwise stated in the quote, the service includes design, manufacture, transport to the show venue, installation before opening and dismantling after closing. It does not include the rental of the floor space from the organiser, utilities (electricity, water, internet) invoiced by the organiser, or hospitality staff.

3. Prices

Prices are stated in CFA francs (XOF), all taxes included. PIXLEVENT SARL is exempt from VAT (TEE regime, article 347 of the Ivorian General Tax Code): no VAT is invoiced. A management and file fee of 7 % of the stand amount is added to each order. Indicative prices are valid for 30 days; the firm quote states its own validity. Any change requested after acceptance of the firm quote is subject to an amendment.

4. Order and deposit

The order is firm upon receipt of the signed quote and payment of a deposit of [TO COMPLETE] % of the total amount. The balance is due [TO COMPLETE] (e.g. before transport / before installation). The Seller may suspend manufacture in case of late payment.

5. Lead times

Manufacturing lead times are stated in the firm quote and run from receipt of the deposit and of all required items (compliant artwork files, approval of plans). They are indicative; a delay gives no right to cancellation or compensation, except in case of gross negligence by the Seller.

6. Artwork files

The Customer supplies logos and graphics in the requested formats and resolutions and warrants holding the rights to them. The Seller is not liable for a printing defect attributable to a non-compliant file. A proof is submitted to the Customer; its approval releases the Seller from liability for the content.

7. Cancellation

If the Customer cancels after a firm order, the Seller retains: the deposit; more than [TO COMPLETE] days before the installation date, [TO COMPLETE] % of the total amount; less than [TO COMPLETE] days before, all costs incurred (materials, printing, transport) with a minimum of [TO COMPLETE] % of the total amount. Cancellation or postponement of the show by the organiser constitutes force majeure: costs incurred are due, the surplus is carried over or refunded according to progress.

8. Ownership of items

Unless the quote states “sale”, structures, furniture and equipment are made available for the duration of the show and remain the Seller's property; the Customer is responsible for them from the end of installation until the start of dismantling and is liable for damage and loss (invoiced at replacement cost). Customised items (prints, signs) are sold and handed over to the Customer on request after dismantling.

9. Intellectual property

Designs, 3D renderings, plans and files produced by the Seller, before or after the order, remain its property (see the configurator's terms of use, art. 3 and 4). The Customer may not use them to have the stand built by a third party. The Seller may photograph the completed stand and use it in its references, unless the Customer objects in writing.

10. Acceptance and claims

The Customer or their representative attends the end of installation to accept the stand; reservations are recorded in the acceptance report. Failing reservations within 2 hours of the end of installation, the stand is deemed compliant.

11. Liability

The Seller holds professional liability and multi-risk insurance with AXA Côte d'Ivoire. The Seller's liability is limited to direct damages and capped at the order amount. The Seller is not liable for damage resulting from the Customer's non-compliance with the show regulations, or from the organiser's decisions.

12. Governing law and disputes

The Terms are governed by Ivorian law and the applicable OHADA Uniform Acts. Failing amicable settlement within 30 days, any dispute shall be brought before the competent courts of Abidjan.
